Board Governance Policies

Purpose

The purpose of this handbook is to further clarify the governance of the Ä¢¹½ÊÓÆµÍø. This handbook is intended to co-exist with the Ä¢¹½ÊÓÆµÍø Policy Manual.

I. Vision and Mission

Purpose

  1. The Board shall establish, review, and revise, as needed, the vision and mission of the College.
  1. The Board shall approve the strategic plan goals for mission fulfillment and delegate the implementation.

II. Governance

Purpose

Ä¢¹½ÊÓÆµÍø operates under a system of governance with clearly defined authority, roles, and responsibilities. Its decision-making structures provide for the consideration of views held by Trustees, district constituents, faculty, staff, administrators, and students on matters related to the College.

  1. The Board shall select and appoint the President to serve as the Chief Executive Officer of the College who shall have overall administrative responsibility for the operation of the College. The Board shall annually review the President's performance.
  2. The Board requires the President to operate the College in a manner that is lawful, prudent, and in keeping with accepted business and professional ethics and practices.
  3. The Board Chair will establish the Board meeting agenda in consultation with Trustees and the President’s Office.

III. Instruction

Purpose

The Board will consider and approve the curricular offerings of the College on the recommendation of the College President. The Board annually reviews the College’s Three-Year Program Plans for academic degrees and Career & Technical Education programs and approves the suspension and/or elimination of all academic degrees and Career & Technical Education programs.

IV. Fiscal Responsibility

Purpose

The Board is responsible for the fiscal integrity of the College and ensures the efficient use of real and personal property.

In carrying out this responsibility, the Board shall appoint one member of the Board to serve as a Finance Trustee. The Finance Trustee shall report to the Board at regular meetings on items requiring Board action, the allocation of institutional resources, and budgeting priorities. The Finance Trustee may make recommendations to the Board but may not take any action except when authority to act has been delegated by the Board.

A. The Board shall approve all requests to spend from the Financial Sustainability Fund.

B. The Board approves:

  1. The annual budget.  Approval of the annual budget is subject to two readings, provided that the Board may, in its discretion, waive the second reading.
  2. Annual budget allocations to the Financial Sustainability Fund.
  3. All requests to spend from the Financial Sustainability Fund, including for new projects.
  4. Amendments to the annual budget during the fiscal year to the extent the amendment increases the total budget amount.  Amendments to the budget based on additional sponsored program revenues received or reallocation of line items that do not increase the total budget amount do not require Board approval. Approval of amendments to the annual budget during the fiscal year are not subject to two readings.
  5. Carry-forward of budgeted funds for the continuation of work on expenditures approved in a prior fiscal year require Board notification on an annual basis. These carry-forwards do not require Board approval.
  6. Special course fees -Special course fees generally are approved once a year. The Board shall also approve unforeseen changes in special course fees.
  7. Investment plans 
  8.  Capital expenditures for new buildings and real estate.
  9. Agreements or contracts for the following services:
    1. Financial Auditors
    2. Comprehensive Strategic Planning
  10. All real estate rent/lease agreements and contracts.
  11. Naming of buildings and locations.
  12. All contracts that are valued at one million five hundred thousand dollars ($1,500,000) including multi-year contracts that are valued at one million five hundred thousand dollars ($1,500,000) over the duration of the contract. A government appropriations clause or termination for convenience clause must be included in all multi-year contracts.
  13. Declaration of emergency for the immediate expenditure of public money under Idaho Code Section 67-2808.
  14. Sole source declaration pursuant to Idaho Code Section 67-2808.
  15. Any contracts or agreements, the approval of which by the Board is required by law.
  16. Additional agreements or contracts for services after providing timely notice to the President.

C. The Board requires the President to advise the Board on the financial status of the College, and to operate the College within a balanced budget.

D. The Board shall review and approve student tuition and fees.

V. Human Resources

Purpose

A. The Board has the power and responsibility to select the President and establish a compensation package for the President. Board of Trustees Responsibilities:

  1. Prior to the search process, the Board shall review the job description for President and make any appropriate changes in consultation with Human Resources.
  2. The Board shall determine the scope of the search and the desired timetable for filling the position. Under normal circumstances, the Board Chair shall serve as chair of the Search Committee and shall have the delegated authority to sign agreements for professional services, including but not limited to agreements with search consultants.
  3. Search Committee Chair Responsibilities
    1. The Search Committee Chair, in consultation with Human Resources, shall determine what the overall application process will be to achieve the search scope and timetable identified by the Board, including but not limited to:
      1. composition of the Search Committee
      1.  advertisement of job announcement
      1. applicant criteria
      1. procedure for ranking and review of applicants
    1. To the extent possible, the Search Committee shall identify no fewer than five (5) finalists for the position. As finalists, the names of such individuals may be released to the public pursuant to Idaho’s Public Records Law. Accordingly, applicants should be advised that if they are selected as finalists, their names may be disclosed to the public.
  1. Completion of the Hiring Process

a. The Board shall make the final hiring decision. Any such decision shall be made in open meeting and shall authorize the College to hire the selected candidate. If the Board rejects the recommendation of the Search Committee, it may authorize the hiring of one of the other finalists or direct the Search Committee to re-engage the selection process.

b. The Board Chair shall be authorized to sign the President’s contract

B. In the event of a President’s vacancy, the Board shall appoint an Interim President during the search process and/or until such time as the new President assumes all job responsibilities.

C. The Board directs the President to recruit, retain, and reward quality employees to maintain the College’s operations and to further the College’s mission.

D. The Board delegates to the President or designee the authority to hire College personnel.

E. The Board requires an interim succession plan for all key employees, including the President, in the event of a vacancy or prolonged absence. A “key employee” includes Vice Presidents and any employee reporting directly to the President. The President and/or Vice Presidents shall determine the necessity of interim succession plans for all other employees.

F. The Board of Trustees approves Emeritus Status for former Trustees, faculty, and CWI employees in accordance with CWI Policy HR 220. Emeritus status is reserved for former Trustees, faculty and long-term employees who have demonstrated outstanding service and have significantly contributed to furthering the mission of CWI.

Emeritus status shall, subject to any subsequent modification or termination of this policy, be entitled to:

  1. use of library materials on the premises
  2. inclusion on CWI’s mailing list
  3. invitation to commencement and other special events
  4. a formal resolution of the Board of Trustees’ action granting emeritus status

VI. Student Services

Purpose

The Board requires the President to establish policies and processes for the purpose of promoting student success through effective instruction, the provision of supportive services that address current student needs, and collaboration with secondary and higher education, business, and industry.

VII. Campus Safety

Purpose

The Board requires the President to establish a safe, healthy, and orderly campus to protect the well-being of students, employees, and the public. The President is authorized to take action necessary to protect the campus community in case of emergency.

VIII. Measurement and Reporting

Purpose

The Board shall monitor the effectiveness of the College through appropriate measurements and reports including, but not limited to, student success, financial sustainability, and strategic goals.

IX. Evaluation of the Board and the President

Purpose

The Board shall evaluate the performance of the President annually with the intention of strengthening performance, identifying and reaching consensus on goals, ensuring clear understanding of responsibilities, and clarifying expectations among Trustees.

  1. The Board will review the President’s performance, set mutually agreed-upon goals, and review the President’s salary.
  2. The President’s evaluation will include a written summary of progress on goals and work completed in the prior 12 months written by the President.
  3. Trustees will be provided with a written summary to aid in the completion of the evaluation instrument.
  4. An executive session of the Board shall occur prior to the end of the fiscal year in which the summary and/or compilation of the collective evaluations will be shared and discussed with the President.
